Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and the operator of Finsharc ("we", "us", "our") governing access to and use of our marketing websites, waitlists, betas, embedded or linked product demos, documentation, blog, and related online services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Eligibility and capacity
You must be at least the age of digital consent in your jurisdiction (typically 16 or 18) and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. The Services; mobile and third-party terms
We provide information about Finsharc, ways to join waitlists or communities, support channels, and optional interactive demos. Features, availability, and pricing may change. Native applications obtained through Apple App Store, Google Play, or other stores are also subject to the applicable store terms and any separate end-user license agreement or in-app terms presented at install or update. Payment processing for paid offerings, if any, is handled by platforms or payment processors under their rules.
3. Beta and pre-release programs
Beta or preview features are experimental. They may be unstable, incomplete, or withdrawn. They are provided "as is" without warranty. You may not rely on them for production or compliance purposes. Feedback you provide may be used without obligation to you, subject to our Privacy Policy.
4. License and acceptable use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes in line with these Terms. You agree not to:
- Violate applicable law, including financial crime, sanctions, or securities regulations;
- Attempt to gain unauthorized access to systems, accounts, or data;
- Introduce malware, overload infrastructure, or scrape the Services in a manner that impairs them;
- Misrepresent your identity or affiliation, or phish other users;
- Reverse engineer or circumvent technical protections except where mandatory law allows;
- Use the Services to provide regulated financial services without proper authorization.
We may suspend or terminate access for conduct that we reasonably believe violates these Terms or creates risk.
5. Your content and communications
If you submit feedback, emails, or other materials, you grant us a non-exclusive license to use, copy, and display them to operate and improve the Services, without compensation, except where law forbids. Do not send us confidential information unless we have signed a separate confidentiality agreement.
6. Intellectual property
The Services, including branding, text, graphics, demos, and software (excluding your content), are owned by us or our licensors and protected by intellectual property laws. Except for the limited license above, no rights are granted. "Finsharc" and related marks are our trademarks unless otherwise noted.
7. Third-party links and embedded services
The Services may link to or embed third-party sites or applications (for example social networks or demo hosts). We are not responsible for third-party content or practices. Their terms and privacy policies apply.
8. Disclaimers — not financial, legal, or tax advice
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Finsharc is financial software and educational material, not a bank, payment institution, broker-dealer, investment adviser, or insurer unless separately licensed and stated. We do not provide tax, legal, investment, or accounting advice. Demos may use sample data. You are solely responsible for compliance with laws applicable to your use of any product and for decisions affecting your finances or business.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER WE NOR OUR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY.
OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100) OR (B) THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THAT PERIOD (IF ANY). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Indemnity
You will defend, indemnify, and hold harmless us and our affiliates from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your content, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.
11. Termination
You may stop using the Services at any time. We may suspend or terminate access with or without notice where we reasonably believe it necessary for legal, security, or operational reasons. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.
12. Governing law; disputes; consumers
Except where mandatory local law (including consumer protection law in the EEA, UK, or your country of residence) requires otherwise, these Terms are governed by the laws of Philippines, without regard to conflict-of-law principles. Subject to those mandatory rules, you agree that the courts located in Philippines have non-exclusive jurisdiction over disputes arising from the Services.
If you are a consumer habitually resident in the European Economic Area or the United Kingdom, you benefit from any mandatory provisions of the law of your country of residence, including the right to bring proceedings in your courts of residence where applicable law allows.
13. General
These Terms, together with our Privacy Policy, are the entire agreement regarding the Services described here. If any provision is unenforceable, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
